Dear Dr. Haar:

The parties in the above matter have informed me that they have reached a settlement agreement.  Counsel for the Department of Commerce informed me that the Department supports the parties’ agreement and requested that I transfer jurisdiction of the matter back to the PUC so that the Commission may request comments on the agreement and consider whether approval of the Agreement is in the public interest.

Accordingly, I am now closing the OAH file in this matter.  The official record will be provided to you under separate cover.

                                                                      Sincerely,

                                                                      /s/ Barbara L. Neilson
